By accessing or using vCISO Lite ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

• Grant of License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

• Payment Processing: Payments are processed by third-party payment processors. We do not store your payment card information.

• Refunds: Refunds are provided only as required by law or at our sole discretion. Annual subscriptions may be eligible for prorated refunds if cancelled within 30 days.

• Availability: We strive to maintain 99.9% uptime for Professional and Enterprise tiers, but we do not guarantee uninterrupted or error-free service.

• Maintenance: We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice.

• Service Modifications: We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

• Your Content: You retain ownership of all content and data you submit to the Service ("User Content"). You grant us a license to use, store, and process your User Content to provide the Service.

• Our Rights: We may access, use, and disclose User Content:
• - To provide and improve the Service
• - To respond to support requests
• - To comply with legal obligations
• - To protect our rights and prevent fraud

• Data Security: We implement security measures to protect your data, but you are responsible for maintaining backups of your important data.

• No Guarantees: We do not guarantee that:
• - The Service will meet your requirements
• - The Service will be uninterrupted, timely, secure, or error-free
• - Results obtained from the Service will be accurate or reliable
• - Defects will be corrected

• Limitation: To the maximum extent permitted by law, vCISO Lite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:
• - Loss of profits, data, or business opportunities
• - Service interruptions or failures
• - Errors or omissions in the Service
• - Unauthorized access to your data

• Maximum Liability: Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

• Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless vCISO Lite and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of the Service - Your violation of these Terms - Your violation of any rights of another - Your User Content

• Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature.

• Termination by Us: We may terminate or suspend your account immediately, without prior notice, if you breach these Terms.

• Effect of Termination: Upon termination:
• - Your right to use the Service will immediately cease
• - We may delete your account and data
• - Provisions that by their nature should survive will survive

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of San Francisco, California.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
